BELLA-LU AMBASSADOR PROGRAM

TERMS & CONDITIONS

By applying to and participating in the Bella-Lu Ambassador Program (the “Program”), you confirm that you have read, understood, and agree to be bound by these Terms & Conditions (the “Agreement”). This Agreement is entered into by Bella-Lu Hair Extensions (“Bella-Lu,” “we,” or the “Company”) and the approved participant (“Ambassador,” “you,” or “your”).

1. Program Overview

The Bella-Lu Ambassador Program allows approved Ambassadors to earn commissions by promoting Bella-Lu products using personalized tracking links and invitation codes provided by Bella-Lu after approval.

Participation in the Program is subject to approval at Bella-Lu’s sole discretion.

2. Definitions

Ambassador
An individual approved by Bella-Lu to participate in the Program.

Tracking Link / Invitation Code
A unique identifier assigned to an Ambassador for the purpose of tracking attributed sales.

Commission
A percentage (10%) of Eligible Sales attributable to an Ambassador.

Eligible Sales
The item subtotal actually paid by the customer after any promotional adjustment applied by Bella-Lu, excluding taxes, shipping, returns, refunds, chargebacks, and cancellations.

Term
The period beginning on the date an Ambassador is approved and continuing until terminated by either party.

3. Eligibility & Approval

To be eligible, applicants must:

  • Be at least 18 years of age or the age of majority in their jurisdiction

  • Submit an application and receive written approval from Bella-Lu

  • Comply with all applicable laws, platform rules, and Bella-Lu policies

Bella-Lu reserves the right to approve, reject, suspend, or terminate any Ambassador at its sole discretion, with or without cause.

4. Commission Structure

  • Ambassadors earn 10% commission on Eligible Sales attributed through their tracking link or invitation code

  • Commissions apply only to completed, non-refunded transactions

  • Returns, refunds, chargebacks, or cancellations will be deducted from future payouts

Bella-Lu reserves the right to adjust commission rates or program terms with prior notice.

5. Payout Terms

  • Commissions are calculated monthly

  • Payouts are issued within 30 days after month-end

  • Payout method is determined by Bella-Lu and may include bank transfer, PayPal, Wise, or another method selected by the Company

  • Ambassadors must provide accurate payout information when requested

Bella-Lu is not responsible for delays caused by incorrect or incomplete payout information.

6. Promotional Guidelines & Restrictions

Ambassadors may not:

  • Share tracking links or invitation codes on coupon, deal, cashback, or rebate websites

  • Use Bella-Lu trademarks, brand names, or identifiers in paid advertising without prior written approval

  • Make false, misleading, or unsubstantiated claims regarding Bella-Lu products

  • Represent themselves as employees, agents, or official spokespeople of Bella-Lu

  • Engage in fraudulent, deceptive, or manipulative marketing practices

  • Generate self-referrals or attempt to circumvent attribution systems

Violations may result in immediate termination and forfeiture or offset of unpaid commissions.

7. Disclosure & Compliance

Ambassadors must clearly disclose their relationship with Bella-Lu in accordance with all applicable advertising laws and platform policies, including but not limited to FTC guidelines. Required disclosures may include identifiers such as #ad, #partner, or equivalent language where applicable.

8. Content Ownership & Usage Rights

  • Ambassadors retain ownership of original content they create

  • By participating, Ambassadors grant Bella-Lu a non-exclusive, royalty-free, worldwide license to use, reproduce, repost, edit, and display content created in connection with the Program for organic marketing and paid advertising purposes

  • This license remains in effect during the Term and for 12 months following termination

Ambassadors represent that they have all necessary rights to grant this license and that their content does not infringe third-party rights.

9. Independent Contractor Relationship

  • Ambassadors are independent contractors, not employees, partners, or agents of Bella-Lu

  • Ambassadors are solely responsible for all taxes, insurance, and statutory obligations related to commissions earned

  • Ambassadors may not bind or represent Bella-Lu in any legal or commercial capacity

10. Termination & Suspension

  • Ambassadors may terminate participation at any time by written notice

  • Bella-Lu may suspend or terminate participation immediately for violations, suspected fraud, or misuse

  • Upon termination, Ambassadors must cease use of all tracking links and invitation codes

Only commissions from Eligible Sales completed prior to termination are payable.

11. Limitation of Liability

To the maximum extent permitted by law, Bella-Lu shall not be liable for indirect, incidental, consequential, or special damages, including lost profits.

Bella-Lu’s total liability arising from or related to this Agreement shall not exceed $100 USD.

12. Disclaimer of Warranties

The Program is provided “as is” and “as available.” Bella-Lu disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Bella-Lu Hair Extensions is incorporated, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the competent courts of that jurisdiction.

14. Miscellaneous

  • Entire Agreement: This Agreement constitutes the entire agreement between the parties

  • Modification: Bella-Lu may update these Terms with notice; continued participation constitutes acceptance

  • Severability: Invalid provisions do not affect the remainder of the Agreement

  • No Waiver: Failure to enforce any provision does not constitute a waiver
